Terms of Service

Memoe is in beta. You are early, and that is the deal: expect bugs, edge cases and rough corners, and expect the app to change often while we build. Nothing on this page promises otherwise — section 7 says so in the language lawyers use — and the quickest way to make the next version better is to tell Moe when something goes wrong.

These terms are the agreement between you and Yisrael Gottlieb, a sole proprietor in New Jersey, United States (“we”, “us”), about your use of Memoe. Downloading, installing or using Memoe means you accept them; signing in with Google, and starting a paid plan, each ask you to accept them and record that you did. If you do not accept them, do not use Memoe.

You must be 18 or older to use Memoe.

1. What Memoe is

Memoe is an application you download and run on your own Mac. Speech recognition and speech synthesis run on your machine unless you turn on a paid tier’s Cloud voice. Memoe does not include an AI model of its own: to use the agent you connect an AI provider you already have — a Claude or ChatGPT subscription, an API key, or a model running locally — and you connect the accounts and services you want it to reach.

Everything that runs on your Mac works without an account. Signing in with Google creates a Memoe account on our server, which some connections, problem reports and paid plans need. The paid plans add a private computer in the cloud that runs your Moe while your Mac is closed. What each of these means for your data is in the privacy policy, which forms part of these terms.

2. Your licence to use Memoe

We grant you a personal, worldwide, non-exclusive, non-transferable, revocable licence to install and use Memoe on Macs you own or control, for your own purposes, personal or commercial. The app itself is free. Everything that runs on your own Mac — the assistant, meetings, memory, the connections you set up — costs nothing and is not time-limited. What can be paid for is described in section 3, and nothing there is needed to use Memoe.

You may not sell, rent or sublicense Memoe as a product of your own, remove or alter its notices of ownership or attribution, or represent it as something you made.

Memoe includes third-party open-source software and open models. Each of those is licensed to you by its own author under its own licence, and those licences govern that component and override anything in this section that conflicts with them. The full list is on the licences page and in the app.

3. Paid subscriptions

Two optional monthly subscriptions go beyond your Mac: Away and Away+, at the prices shown on memoe.app. They are bought and managed from inside the app, under Settings › Away. You never need one, and nothing in the free app is taken away if you do not have one.

Your AI is not part of this. Whichever subscription you hold, the account that does the thinking stays yours — a Claude or ChatGPT subscription, an API key, or a model on your own Mac. We do not resell it and we do not mark it up, and anything it costs you is between you and that provider.

How payment works. Payments are taken by Stripe, who handle the card details; we never see or store your card number. A subscription renews automatically each month, on the day you started it, until it is cancelled. Prices are in US dollars and exclude any tax that applies where you are.

Starting a plan. Before a plan starts, Moe shows you what will move to your cloud computer and asks you to agree to these terms and the privacy policy. Choosing Agree and continue records that agreement against your account; choosing Not now records nothing and sends nothing. Agreeing does not start the copying: copying starts once your plan is active, so if you leave the payment page, nothing leaves your Mac.

Cancelling. You can cancel at any time, from Settings › Away. Cancelling takes effect at the end of the month you have already paid for — you keep everything the tier gives you until then, and you are not charged again. After that the account returns to the free tier. Your cloud computer stops at the end of the paid period, and we keep your cloud copy for 90 days in case you come back, then delete it, as the privacy policy describes.

Deleting your account. Deleting your Memoe account ends your subscription immediately, together with your cloud computer and what we hold for you (the privacy policy lists the few records that remain). The month you are part-way through is not refunded, because the deletion is immediate and cannot be undone; the refund rights in the next paragraph still apply where the law gives them.

Refunds. Part-months are not refunded, because cancelling leaves you with the rest of the month you bought. That does not affect any refund or cancellation right the law where you live gives you and does not let you waive; where such a right applies, it applies.

If a payment fails. Stripe retries a failed card for several days, and your subscription keeps working while it does — a card that failed this morning does not cost you the tier this afternoon. If it is still unpaid at the end of that, the subscription ends and the account returns to the free tier.

If the price changes. We may change what a subscription costs. If we do, we will tell you by email at least 30 days beforehand, the new price takes effect at your next renewal and not before, and you are free to cancel in the meantime.

What is included, and what happens when it runs out. Each paid tier includes a monthly allowance — of the machine’s time, of what it watches for you, and of Moe’s spoken voice. An allowance is a ceiling, not a meter: when one is used up, that part stops or falls back to what runs on your Mac until the month turns over. A subscription cannot bill you more than its monthly price. Nothing on the paid tiers charges by usage, and we will not take money from you that you have not agreed to in advance.

Suspending or ending an account. We may suspend or end a paid subscription if it is used to break section 6, if payment fails, or if we stop offering that tier. If we end it for any reason other than your breaking these terms, we will refund the unused part of the month. Anything on your own Mac is untouched by any of this.

4. Services you connect

Memoe is useful because you point it at things: an AI provider, your mail, your calendar, your files, a messaging service. Each of those is operated by someone else, under their own terms and their own privacy policy, and your agreement with them is yours, not ours. Connecting a service through Memoe does not change it.

You must be entitled to connect the accounts you connect, and you must keep to the terms of the services you reach through Memoe. If a provider changes its rules, its prices, or its access, or withdraws it altogether, that part of Memoe may stop working and we are not responsible for the consequences.

Anything you send to an AI provider through Memoe — your requests and the context that goes with them — is received and handled by that provider under their terms, not ours.

5. What you are responsible for

Moe acts on your instructions with your credentials, from your Mac — or, on a paid plan, from your cloud computer. You are responsible for what it does on your behalf, including anything it sends. Before Moe sends a message or an email for you it shows you exactly what will go out and waits for you to confirm it; confirming is your decision, and the message is yours.

You are responsible for the security of your own machine and your own credentials, and for keeping backups of anything you would not want to lose. Moe stores its memory, transcripts and settings as plain files on your disk; deleting them deletes them. A copy in the cloud, if you have one, is not a backup we promise to keep.

6. Acceptable use

Do not use Memoe:

We do not monitor how you use Memoe. On a paid plan your cloud computer runs on infrastructure we rent, and our staff open it only to fix something you asked us about, with your yes on the ticket, and we note it on that ticket (the privacy policy’s no-look rule). This section says what the licence permits: use it outside these limits and you are outside the licence, and we may end a paid plan under section 3.

7. No warranty

Memoe is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement. We do not warrant that Memoe will be uninterrupted, error-free, or free of harmful components, that transcription or any model output will be accurate, or that it will work with any particular service, machine or version of macOS.

Memoe uses AI models. Model output can be wrong, and can be confidently wrong. Check anything that matters before you rely on it.

Memoe is beta software. It is early, it is changing week to week, and features may behave differently, break, or be withdrawn between versions. Please do not rely on it for anything you cannot check yourself.

Some jurisdictions do not allow the exclusion of certain warranties or of statutory consumer rights. Where that is so, this section applies only as far as the law allows, and nothing here limits rights you have that cannot be limited.

8. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to Memoe, however caused and on any theory of liability, even if we have been advised that such damages are possible.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to Memoe will not exceed the greater of the amount you paid us in the twelve months before the claim — which, if you have only ever used the free app, is nothing — or fifty US dollars.

Nothing in these terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded or limited.

9. Changes to Memoe and to these terms

We may change, add to, or discontinue Memoe or any part of it. We may update these terms — to reflect a change in the app, or in the law. These terms are versioned; the version is at the top of the page. A small edit changes the date only. A material change gets a new version, we say so on this site before it takes effect, and Moe asks you to agree to it in the app; your service is not cut off while it waits. Continuing to use Memoe after a change means you accept the updated terms. The current version always lives at memoe.app/terms.

These terms are written against what Memoe actually does and have not yet been reviewed by a lawyer; that review happens before paid plans are generally available, and any change it brings will come with a new version.

10. Termination

You may stop at any time: quit Moe, disconnect the services you connected, and delete the app and its files. If you never signed in, we hold no account for you. If you did, Delete my account in Settings › Privacy — or an email to us — deletes your Memoe account and everything we hold for you, and ends any subscription as section 3 describes. Deleting the app alone does not cancel a subscription or delete your account.

Your licence under section 2 ends if you break these terms. We may also stop distributing Memoe, or stop supporting a version of it, at any time. Sections 3, 4, 5, 7, 8, 11 and 12 survive the end of this agreement.

11. Governing law

These terms, and any dispute arising out of them or out of your use of Memoe, are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules, and the state and federal courts of New Jersey have exclusive jurisdiction. If you use Memoe as a consumer, this does not deprive you of the protection of the mandatory law of the country you live in.

12. The rest

These terms, together with the privacy policy and the third-party licences, are the whole agreement between you and us about Memoe. If a provision is held unenforceable, the rest stands. Not enforcing a provision is not a waiver of it. You may not assign this agreement; we may assign it as part of a transfer of the business.
